Thank you for your interest in the Nellie affiliate program. These Affiliate Terms (the “Terms”) govern your participation in the affiliate program offered by Buzzle LLC (“Company”, “we”, “us”, or “our”) for Nellie (the “App”). By applying to, enrolling in, or participating in the affiliate program, you agree to these Terms.

These Terms apply to your use of affiliate links, referral codes, affiliate dashboards, payout tools, and any related services or materials we provide in connection with the affiliate program (collectively, the “Program”). If you do not agree to these Terms, you must not participate in the Program.

Please read these Terms carefully, as they explain how commissions are earned, when payouts are made, what promotional conduct is permitted, and the circumstances under which participation may be suspended or terminated.

1. ELIGIBILITY AND ENROLLMENT

To participate in the Program, you must complete any required registration steps, provide accurate and complete information, and be approved by us. We may accept or reject any application in our sole discretion.

By participating in the Program, you represent and warrant that: (a) the information you provide to us is true, accurate, and current; (b) you will keep your information updated; (c) you have the legal authority to enter into these Terms; and (d) your participation in the Program will comply with all applicable laws, regulations, platform requirements, and these Terms.

We may request additional information from you at any time to verify your identity, your promotional methods, or your eligibility for payout.

2. REFERRAL CODES AND PROGRAM ACCESS

Approved affiliates may be issued referral codes, referral links, or both through the affiliate dashboard or other Program tools made available by us.

Each affiliate may have up to five (5) referral codes at a time. Once a referral code has been created or used, it cannot be deleted. We may, however, suspend, deactivate, or disable a code if we reasonably believe it has been misused, is misleading, violates these Terms, or is otherwise harmful to Nellie, our users, or our business.

You are responsible for maintaining the security of your affiliate account, dashboard access, and referral materials. You must promptly notify us if you believe your account, links, or referral codes have been compromised or misused.

3. COMMISSIONS AND ELIGIBLE SALES

Affiliates earn a commission equal to 20% of post-fee revenue actually received by us from an eligible referred user’s first initial purchase. Commissions are earned only when a qualifying first purchase is properly attributed to your referral code or referral link through our tracking systems.

For clarity, commissions are calculated on the amount we receive after platform fees. For example, if a referred user makes a $10.00 initial purchase and the publishing platform retains a 30% platform fee, we receive $7.00, and the affiliate commission is 20% of that amount, or $1.40.

Commissions apply only to the referred user’s first initial purchase. No commissions are earned on renewals, subscriptions after the initial purchase, repeat purchases, upgrades, add-ons, or any later transactions by that same user unless we expressly state otherwise in writing.

A sale is not eligible for commission if it is cancelled, refunded, reversed, charged back, identified as fraudulent, attributed incorrectly, generated through prohibited conduct, or otherwise not actually received by us. We reserve the right to determine, in good faith, whether a transaction qualifies for commission under these Terms.

Our records and tracking systems will control for purposes of determining referral attribution, eligible sales, and commission amounts, absent manifest error.

4. PAYOUTS

Payouts are issued only after funds from eligible sales have been received by us from the applicable publishing platform. Payout timing may vary, but payouts are typically issued within two (2) months after the applicable sale.

Payments are made manually via Venmo or Cash App. To receive payment, you must keep accurate and complete payout information for at least one supported payment method in the payouts tab of your affiliate dashboard.

If your payout information is incomplete, inaccurate, unavailable, or unsupported, we may delay payment until the issue is resolved. We are not responsible for failed or delayed payments caused by inaccurate payout details, payment-provider restrictions, or circumstances outside our reasonable control.

We will never request payment from affiliates in order to participate in the Program or receive commissions. Any request purporting to be from us that asks you to send money to receive affiliate access or a payout should be treated as fraudulent unless independently verified by us through official channels.

You are solely responsible for any taxes, fees, reporting obligations, or similar obligations arising from commissions paid to you.

5. AFFILIATE RESPONSIBILITIES AND RESTRICTIONS

You are responsible for how you promote Nellie and the Program. You must ensure that all marketing, advertising, statements, and content related to Nellie are truthful, accurate, lawful, and presented in a manner that reflects positively on our brand.

You agree that you will not:

• engage in any illegal, deceptive, misleading, fraudulent, defamatory, abusive, hateful, harassing, or otherwise inappropriate conduct in connection with Nellie or the Program;
• make false claims about Nellie, the App, our features, our pricing, or the availability of offers or discounts;
• promote Nellie in a way that, in our judgment, harms or could harm our reputation, goodwill, users, or business interests;
• use spam, unsolicited commercial messages, fake accounts, bot traffic, misleading redirects, or other manipulative promotion methods;
• impersonate Nellie, Buzzle LLC, our employees, or our representatives, or create the false impression that you are acting on our behalf;
• use referral codes, links, or promotional materials in connection with obscene, infringing, discriminatory, violent, unlawful, or otherwise objectionable content;
• bid on our brand terms, register confusingly similar usernames, domains, or social handles, or otherwise misuse our brand assets without permission; or
• attempt to game, interfere with, reverse engineer, or exploit the Program, referral tracking, or payout systems.

Where required by applicable law or platform rules, you must clearly disclose your relationship with Nellie, including that you may receive a commission for referred sales.

6. COMPLIANCE, MONITORING, AND ENFORCEMENT

We may monitor affiliate participation, referral activity, promotional materials, and compliance with these Terms. You agree to cooperate with reasonable compliance requests, including requests for examples of how you are promoting Nellie.

If we determine, in our sole discretion, that you have violated these Terms or engaged in conduct that creates legal, reputational, operational, or commercial risk for us, we may take any action we consider appropriate, including warning you, suspending referral codes, withholding unpaid commissions during review, reversing ineligible commissions, or terminating your participation in the Program.

Failure to comply with these Terms may result in immediate termination from the Program and forfeiture of any unpaid commissions.

7. INTELLECTUAL PROPERTY AND BRAND USE

We may provide you with certain names, logos, marks, screenshots, descriptions, or other promotional materials for use in connection with the Program. Except for the limited right to use approved materials solely for lawful participation in the Program, we retain all right, title, and interest in and to Nellie, the App, our brand, and all related intellectual property.

You may not modify, misuse, or display our brand assets in a misleading, disparaging, confusing, or unapproved way. We may revoke any permission to use our brand assets at any time.

8. TERM, CHANGES, PAUSE, AND TERMINATION

These Terms begin when you are accepted into the Program or otherwise begin participating in it and continue until terminated by either you or us.

We may modify, update, replace, pause, restrict, or terminate the Program or these Terms at any time, with or without notice. Any updated Terms will become effective when posted or otherwise communicated by us, unless we specify a different effective date.

The Program may be paused or terminated at any time. We do not guarantee the continued availability of the Program, any referral code, any commission structure, or any payout method.

Upon termination, you must stop promoting Nellie through the Program and stop using referral codes, referral links, and any Program-related materials. Sections that by their nature should survive termination will survive, including sections relating to unpaid or reversed commissions, compliance, intellectual property, disclaimers, liability limitations, and general legal terms.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

The Program, affiliate dashboard, referral tools, and all related materials are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that referral tracking will be uninterrupted or error-free, that any specific amount of commission will be earned, or that the Program will remain available for any particular duration.

To the fullest extent permitted by law, Buzzle LLC and its affiliates, officers, employees, contractors, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, or anticipated earnings arising out of or relating to the Program or these Terms, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability arising out of or relating to the Program or these Terms will not exceed the total unpaid commissions, if any, properly earned by you under these Terms in the three (3) months preceding the event giving rise to the claim.

10. GENERAL TERMS

These Terms constitute the entire agreement between you and us regarding the Program and supersede any prior or contemporaneous discussions or understandings relating to the Program.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, corporate reorganization, or by operation of law.

These Terms will be governed by the laws applicable to Buzzle LLC, without regard to conflict of laws principles, except to the extent otherwise required by applicable law.
